1. Acceptance and Binding Agreement
These Terms of Service (the "Terms," "Agreement," or "TOS") constitute a legally binding contract between you ("Customer," "User," "you," or "your") and ParlayAPI, operated by Jacob Galperin as a sole proprietorship, with all rights, obligations, and account relationships to be assigned to and assumed by the successor Delaware limited liability company upon its formation (collectively, "ParlayAPI," "we," "us," or "our").
By (a) creating an account, (b) generating or using an API key, (c) accessing parlay-api.com or any subdomain, (d) calling any ParlayAPI HTTP endpoint, (e) clicking any "I agree," "Sign up," "Subscribe," or analogous button, (f) paying any subscription fee through Stripe or any successor processor, or (g) otherwise using the Service in any manner, you represent that you have read, understood, and agree to be bound by these Terms in their entirety, including the binding arbitration clause and class action waiver in Section 18.
If you do not agree, you must immediately cease all access to the Service, revoke any API keys you have generated, and request account closure. Continued use after any modification constitutes acceptance of the modified Terms.
If you are accepting these Terms on behalf of a company, partnership, or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity. Personal liability survives misrepresentation of authority.
2. Account Creation, Eligibility, and Verification
2.1 Eligibility
You must be at least eighteen (18) years of age to create a ParlayAPI account or use any portion of the Service. If you use any feature of the Service that links, refers, or directs you to a sportsbook, prediction market, daily fantasy operator, or any other gambling-adjacent operator, you must additionally be at least twenty-one (21) years of age and physically located in a jurisdiction where such activity is lawful. ParlayAPI does not verify your age or location and you bear sole responsibility for compliance.
You may not use the Service if you (a) are barred from any jurisdiction's gambling regulator, (b) appear on any sanctions, denied-party, or terrorist watch list, (c) are a self-excluded individual under any state or tribal voluntary self-exclusion program and your use of our data would facilitate placement of wagers, or (d) have previously had a ParlayAPI account terminated for cause.
2.2 Account Information
You agree to provide accurate, current, and complete information during registration and to maintain it. You are solely responsible for safeguarding your password, API keys, refresh tokens, session cookies, and any authentication artifact ("Credentials"). You must notify us immediately at jgalperi@ramapo.edu of any unauthorized use of your account or Credentials.
2.3 Verification
We reserve the right, at our sole discretion, to require email verification, phone verification, IP-based geolocation checks, payment-instrument verification, or additional Know-Your-Customer-style attestations as a condition of providing or continuing service. Failure to complete verification may result in suspension or termination without refund.
2.4 One Account Per Customer
A single natural person or legal entity may hold one (1) account at a time. Creating duplicate accounts to evade rate limits, free-tier ceilings, suspensions, or fee tiers constitutes a material breach and authorizes us to terminate all related accounts and forfeit any prepaid amounts.
3. Service Description
3.1 What ParlayAPI Provides
ParlayAPI is a business-to-business software-as-a-service application programming interface that aggregates publicly observable sports data, including but not limited to: sportsbook moneyline, spread, and total odds; player proposition prices; live in-play markets; play-by-play feeds; arbitrage and middling opportunities derived from cross-book pricing comparison; and historical pricing archives. The Service is delivered exclusively as machine-readable HTTP responses (JSON) through documented endpoints.
3.2 What ParlayAPI Explicitly Does Not Provide
ParlayAPI is not, and shall not be construed as: (a) a sportsbook, betting exchange, prediction market, or wager-placement platform; (b) a gambling facilitator, bookmaker, agent, runner, or beard-bettor service; (c) a financial adviser, registered investment adviser, broker-dealer, commodity trading adviser, or fiduciary; (d) a sports handicapping tipster or pick-selling service; (e) a money-transmission, escrow, or payment-aggregation service for wagers; (f) an offerer of "guaranteed winners," "locks," "sure bets," or any product purporting to deliver risk-free profit; or (g) a sponsor, endorser, or affiliate-of-record of any sportsbook trademark referenced in our data.
We do not place bets. We do not hold wagers. We do not pay winnings. We do not coach, advise, or recommend any specific wager, parlay, hedge, or arbitrage execution. We do not employ professional handicappers and do not represent any data point as an expert recommendation.
4. License Grant and Restrictions on Use of API Output
4.1 License
Subject to your continuous compliance with these Terms and timely payment of fees, ParlayAPI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the term of your subscription, to call the API and to use, internally process, and display the API responses ("Output") solely within your own authorized application, model, or analytical workflow.
4.2 Restrictions
You shall not, and shall not permit any third party to:
(a) resell, sublicense, redistribute, syndicate, or republish raw Output, or any meaningful subset of Output, to any third party, whether for free or for consideration;
(b) build, train, fine-tune, or otherwise condition any machine-learning model on Output for the purpose of replicating, replacing, or competing with the Service, including the construction of any "shadow odds feed" or derivative aggregator;
(c) cache, mirror, or persist Output beyond the period reasonably necessary for the Customer's internal use, and in no event longer than ninety (90) days for line-level pricing data without our prior written consent;
(d) remove, alter, or obscure any attribution, watermark, version header, or rate-limit marker present in Output;
(e) misrepresent the source, freshness, or provenance of Output to any downstream user, including by passing off ParlayAPI Output as a direct sportsbook feed;
(f) use Output to populate a publicly accessible odds-comparison website, mobile application, browser extension, or chatbot whose primary purpose is to display sportsbook prices, unless you maintain a Business tier or higher subscription and provide visible attribution to ParlayAPI;
(g) use Output to facilitate the placement of wagers by any individual under twenty-one (21) years of age, by any individual in a jurisdiction where the relevant wager type is unlawful, or by any individual on a self-exclusion list;
(h) use Output in connection with any product that itself operates as an unlicensed sportsbook, peer-to-peer wager exchange, or money-transmission service;
(i) reverse engineer, decompile, or attempt to discover the source code, internal data structures, or proprietary fingerprinting logic of the Service.
4.3 Reservation of Rights
All rights not expressly granted are reserved. No implied license, estoppel, or patent right arises from this Agreement.
5. Acceptable Use Policy
5.1 Prohibited Conduct
You shall not: (a) attempt to circumvent any rate limit, IP block, geofence, or tier ceiling; (b) probe, scan, fuzz, or test for vulnerabilities in any portion of the Service without our prior written consent; (c) launch denial-of-service, distributed denial-of-service, slow-loris, or amplification attacks; (d) systematically extract content from our HTML pages, documentation, or dashboard, including the Service's own data outside of properly authenticated API calls; (e) use any automated tool, robot, spider, or extraction utility to access the Service except via our documented API endpoints with a valid key; (f) attempt to extract, infer, or reconstruct our internal source list, fingerprinting parameters, or proxy infrastructure; (g) inject malicious code, payloads, or content into any field, endpoint, or webhook callback URL; (h) impersonate any person or entity or misrepresent your affiliation; (i) use the Service in any manner that violates any applicable federal, state, local, or foreign law or regulation, including without limitation the federal Wire Act (18 U.S.C. ยง 1084), Unlawful Internet Gambling Enforcement Act, Computer Fraud and Abuse Act, and any state anti-gambling statute.
5.2 No Source Reverse Engineering
You shall not attempt to identify, contact, replicate, or in any other way leverage the upstream sportsbook endpoints from which we derive Output, nor shall you build a competing aggregator using our request patterns, headers, or signing methodology as a blueprint. We treat such activity as misappropriation of trade secrets.
5.3 No Key Sharing
API keys are personal to the issued account. You may not share, sell, lease, post publicly, embed in client-side code, commit to a public repository, or otherwise expose any API key. We treat any traffic authenticated by your key as your traffic for billing, rate-limiting, and abuse-attribution purposes, regardless of whether you or a third party generated it. You bear all consequences, including overage charges and termination, of any compromise. We are under no obligation to refund overage charges, retroactively change billing tiers, or unwind activity caused by a leaked key.
5.4 Compromised Keys
If you suspect a key is compromised, you must immediately rotate the key through the dashboard and notify jgalperi@ramapo.edu. Our sole obligation is to invalidate the rotated key promptly upon receipt of your notice.
5.5 No Recursive Aggregation
You shall not aggregate the output of one ParlayAPI account into another aggregator that itself resells aggregated odds. Any "data source" product built on Output that recursively serves Output to its own customers, paying or otherwise, is prohibited absent a written redistribution agreement signed by an authorized representative of ParlayAPI.
6. Tiers, Pricing, Renewal, and Refunds
6.1 Subscription Tiers
The Service is offered in tiers including a Free tier and paid tiers at five dollars ($5), twenty dollars ($20), forty dollars ($40), one hundred dollars ($100), and two hundred dollars ($200) per month, each with documented call ceilings, endpoint coverage, and feature gates as published on parlay-api.com. Tier specifications are subject to change with thirty (30) days' notice; price increases will not apply mid-term to active paid subscribers until the next renewal.
6.2 Payment
All paid subscriptions are processed by Stripe, Inc. By providing payment information, you authorize us, through Stripe, to charge the designated card or instrument. ParlayAPI does not store full card numbers; tokenized references are retained by Stripe. You agree to keep payment information current and to bear all foreign-exchange, processing, and chargeback fees.
6.3 Automatic Renewal
Paid subscriptions automatically renew on a monthly cycle at the then-current published rate for your tier until cancelled by you. To cancel, use the dashboard cancellation flow at least twenty-four (24) hours prior to renewal. Cancellation takes effect at the end of the then-current billing period; the Service remains available through that period.
6.4 No Refunds
Subscription fees are non-refundable. The Service is a digital service consumed as accessed; partial-month, prorated, used-too-little, or post-cancellation refunds are not provided. We may, in our sole discretion and without obligation or precedent, issue good-faith credits for verified Service-wide outages exceeding four (4) consecutive hours on paid tiers. No refund obligation arises from: account suspension for cause; sportsbook-side outages; rate-limiting due to overuse; user error; bot-attack consumption of your call budget; or reduction in third-party sportsbook coverage.
6.5 Chargebacks
Initiating a payment-card chargeback or dispute without first contacting us in writing and allowing fourteen (14) days for response constitutes a material breach. We reserve the right to terminate the account, deny future service, recover fees through collection, and, where supported by Stripe's network rules, contest the chargeback with this Agreement as evidence of your authorization.
6.6 Taxes
Stated prices exclude any sales, use, value-added, goods-and-services, or similar tax. You are responsible for all such taxes other than taxes on our net income. Where required, we will collect and remit applicable sales tax through Stripe Tax.
7. Rate Limits and Fair Use
Each tier carries a published rate limit (calls per second, calls per day, or both). We may, at our sole discretion, throttle, queue, or temporarily reject requests that exceed your tier's allocation, that exhibit bursting patterns indicative of automation in excess of your tier's intent, or that consume disproportionate upstream resources (such as deep historical pulls or wide-net player-prop scans).
We may also apply fair-use enforcement: if your usage, while nominally under the published ceiling, materially degrades Service quality for other customers, we may impose adaptive throttles, request a tier upgrade, or in extreme cases suspend the offending key. We will provide reasonable notice where feasible.
8. Service Availability and No SLA
The Service is provided on a best-effort basis. There is no service-level agreement. Free-tier users in particular accept that the Service may be unavailable, throttled, degraded, or removed at any time without notice or remedy. Paid-tier users receive best-effort uptime targeting but no contractual uptime guarantee, no credit obligation absent the discretionary credits described in Section 6.4, and no warranty as to latency, freshness, completeness, or coverage of any specific sport, league, market, sportsbook, or geography.
We may perform scheduled or emergency maintenance, deprecate endpoints with thirty (30) days' notice, remove sportsbooks whose data is no longer reliably accessible, and restructure response schemas at any time. Customers are responsible for monitoring our changelog at parlay-api.com.
9. Data Accuracy Disclaimer
ParlayAPI aggregates data from third-party sportsbook endpoints whose accuracy, availability, and structure are entirely outside our control. Sportsbook prices change continuously, sometimes faster than any aggregation pipeline can refresh. Sportsbooks may publish stale lines, withdraw markets, restrict bettors, void wagers, or adjust prices retroactively.
You acknowledge and agree that:
(a) Output may differ from the price actually offered to a specific bettor at the time of wager placement, due to latency, geolocation-based pricing, customer-specific limits, sharp-bettor flagging, or sportsbook-side schema drift;
(b) Output is provided for informational purposes only and is not a guarantee, offer, quote, or contract for a wager at any specific price;
(c) line movements, suspensions, voids, settlement disputes, and grading errors are matters between the bettor and the sportsbook, not ParlayAPI;
(d) historical archives may contain gaps, schema migrations, or imputed timestamps and shall not be relied upon as a tick-accurate record;
(e) where a sportsbook restructures or eliminates its public endpoint, we may experience indefinite gaps in coverage for that book, and you accept this risk as an inherent feature of the Service;
(f) any arbitrage, middling, or expected-value calculation surfaced by the Service is an estimate based on observed prices that may no longer be live; profit is not guaranteed and bookmaker limits, voids, palpable-error rules, and account restrictions frequently extinguish theoretical edges.
We make no representation that the Service complies with any specific sportsbook's terms of service. Use of Output that violates any third party's terms is at your sole risk.
10. Intellectual Property
10.1 Our Intellectual Property
All right, title, and interest in and to the Service, including the source code, infrastructure, documentation, dashboards, response schemas, the selection and arrangement of aggregated data, the proprietary normalization layer, and all trademarks, service marks, logos, and trade dress associated with ParlayAPI ("Our IP"), are and shall remain the exclusive property of Jacob Galperin and his successor LLC.
10.2 Customer Content
You retain ownership of any data you submit to the Service (such as account configuration, webhook URLs, or notes). You grant us a worldwide, royalty-free license to host, process, and use such data solely as necessary to operate, secure, and improve the Service.
10.3 Third-Party Trademarks
Sportsbook names, logos, and league marks referenced in Output remain the property of their respective owners. ParlayAPI is not affiliated with, endorsed by, sponsored by, or otherwise connected to DraftKings, FanDuel, BetMGM, Caesars, ESPN BET, Pinnacle, Bet365, Hard Rock Bet, Underdog, PrizePicks, Boom, Polymarket, Kalshi, or any other operator whose pricing may appear in Output. References are descriptive and used solely to identify the source of pricing.
10.4 Feedback
If you submit suggestions, feature requests, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate such feedback into the Service without obligation or attribution.
11. Affiliate Links Disclosure
Certain pages on parlay-api.com display promotional links to sportsbooks. When you click such a link and subsequently register or wager, ParlayAPI may receive a commission or referral fee. This relationship does not influence the data displayed in the API, the ranking of books in any comparison view, or the existence of arbitrage opportunities surfaced. You are under no obligation to use any affiliate link, and we recommend that you independently evaluate any sportsbook before depositing funds. Affiliate participation does not constitute an endorsement of the sportsbook's licensing, solvency, or treatment of bettors.
12. No Legal, Financial, or Gambling Advice
THE SERVICE DOES NOT PROVIDE LEGAL, ACCOUNTING, TAX, FINANCIAL, INVESTMENT, OR GAMBLING ADVICE. NOTHING IN THE OUTPUT IS A RECOMMENDATION TO PLACE, AVOID, HEDGE, OR SIZE ANY WAGER OR FINANCIAL POSITION.
You expressly acknowledge that:
(a) you shall not use Output as the sole basis for placing any wager, position, or transaction;
(b) any decision to place a wager is yours alone, made with full knowledge of the speculative nature of sports wagering, the negative expected value of typical retail betting, the psychological risks of gambling, and the regulatory restrictions of your jurisdiction;
(c) ParlayAPI is not a fiduciary and owes you no duty of care with respect to wagering outcomes;
(d) past performance of any model, strategy, or arbitrage pattern visible through the Service does not predict future results;
(e) if you build an autonomous artificial-intelligence agent, large-language-model wrapper, or algorithmic trading system that consumes Output and issues bet recommendations or executes wagers, you alone are responsible for the agent's outputs and consequences, including bad picks, hallucinated odds, and prompt-injection failures, and you indemnify ParlayAPI accordingly under Section 15.

13. Responsible Gambling
ParlayAPI supports responsible gambling. Users who feel their wagering activity has become unhealthy are encouraged to consult their state's voluntary self-exclusion program, set deposit limits at the sportsbook level, and seek professional help. ParlayAPI does not enforce self-exclusion across sportsbooks; customers on a self-exclusion list must not use Output to facilitate the placement of wagers.
We reserve the right, but accept no obligation, to terminate any account where we have a reasonable basis to believe the Service is being used in a manner that materially harms the user or others.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL PARLAYAPI, ITS OPERATOR, OR ITS SUCCESSOR LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BETTING WINNINGS, ARBITRAGE OPPORTUNITY, EXPECTED VALUE, BANKROLL, OR BUSINESS, REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
(b) OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES YOU ACTUALLY PAID TO PARLAYAPI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED UNITED STATES DOLLARS ($100);
(c) THIS LIMITATION APPLIES IN FULL TO ANY CLAIM PREDICATED ON LOSSES YOU INCURRED PLACING WAGERS BASED ON OUTPUT, ON THIRD-PARTY ABUSE OF YOUR API KEY, ON UPSTREAM SPORTSBOOK DATA STALENESS, ON OUTAGES, OR ON THE CONDUCT OF AI AGENTS YOU AUTHORIZED TO CONSUME OUR OUTPUT.
You acknowledge that the fees charged reflect this allocation of risk, and that without it the Service could not be offered at the stated price.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You shall defend, indemnify, and hold harmless Jacob Galperin, the successor LLC, and their respective officers, contractors, affiliates, and agents (the "Indemnitees") from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service or Output; (b) your violation of these Terms; (c) your violation of any law or third-party right, including any sportsbook's terms of service; (d) any wager you placed, declined to place, or executed in reliance on Output; (e) any product, service, model, or AI agent you built using Output and the consequences of its operation, including incorrect picks delivered to its users; (f) compromise of your API key, including overage, abuse, or downstream exposure caused by your handling of Credentials; and (g) any claim by a sportsbook, league, or regulator concerning your use of Output.
We reserve the right to assume exclusive defense and control of any matter for which you are obligated to indemnify us, with counsel of our choosing, and you shall cooperate at your own expense.
16. Warranty Disclaimer
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OBTAINED FROM PARLAYAPI SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
WITHOUT LIMITING THE FOREGOING, WE DISCLAIM ANY WARRANTY THAT (a) ANY SPECIFIC SPORTSBOOK WILL REMAIN COVERED, (b) ANY SPECIFIC MARKET, PROP, OR LEAGUE WILL REMAIN COVERED, (c) ANY ARBITRAGE OR EXPECTED-VALUE FIGURE WILL TRANSLATE INTO REALIZED PROFIT, (d) ANY HISTORICAL ARCHIVE WILL BE TICK-COMPLETE, OR (e) ANY UPSTREAM CHANGE BY A SPORTSBOOK WILL BE PROMPTLY DETECTED OR REMEDIED.
17. Termination, Suspension, and Data Deletion
17.1 Termination by You
You may cancel your subscription at any time through the dashboard. Cancellation stops future renewal billing but does not entitle you to a refund of the current period.
17.2 Termination or Suspension by Us
We may suspend or terminate your access, with or without notice, for: material breach of these Terms; abuse of the Service; non-payment; fraudulent activity; chargeback initiation; conduct creating legal or regulatory exposure for ParlayAPI; or at our convenience upon thirty (30) days' notice, in which case any prepaid unused portion will be refunded on a prorated basis.
17.3 Effect of Termination
Upon termination, your license to the Service ends immediately, and you must cease all use of Output, delete cached or stored Output beyond what is necessary to satisfy operative downstream obligations to your own end users in the immediate term, and stop all further calls. Sections relating to intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and any provision that by its nature should survive shall survive termination.
17.4 Data Deletion
Upon termination, we will delete your account profile, payment metadata, and stored configuration within ninety (90) days, subject to retention required for tax, audit, fraud, abuse-investigation, and legal-compliance purposes, and subject to backup-rotation cycles that may persist data for up to one hundred eighty (180) days. Aggregated, de-identified usage statistics may be retained indefinitely.
17.5 Competitive Use
If we determine, in our reasonable discretion, that you are using the Service to build a directly competing odds-aggregation API, we may terminate immediately and without refund.
18. Dispute Resolution, Arbitration, and Class Action Waiver
18.1 Informal Resolution
Before initiating any formal proceeding, you agree to contact jgalperi@ramapo.edu describing the dispute and a proposed resolution, and to negotiate in good faith for at least thirty (30) days.
18.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by final, binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Newark, New Jersey, with hearings conducted by videoconference unless the arbitrator orders otherwise. The arbitrator's award shall be final and may be entered in any court of competent jurisdiction.
18.3 Class Action Waiver
YOU AND PARLAYAPI EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. If this Section is found unenforceable, the entirety of Section 18.2 shall be null and the dispute shall be resolved in the courts identified in Section 19.
18.4 Carve-Outs
Either party may bring a small-claims action in a court of competent jurisdiction, and either party may seek injunctive or equitable relief in court for misuse of intellectual property or violation of confidentiality obligations.
18.5 Thirty-Day Opt-Out
You may opt out of the arbitration agreement by emailing jgalperi@ramapo.edu within thirty (30) days of first accepting these Terms with the subject line "Arbitration Opt-Out." Opting out does not affect any other provision.
19. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles, while the operator remains a New Jersey-based sole proprietorship. Upon formation of the successor Delaware LLC and assignment of this Agreement, governing law shall transition to the laws of the State of Delaware. The federal and state courts located in Bergen County, New Jersey (and, post-transition, New Castle County, Delaware) shall have exclusive jurisdiction over any matter not subject to arbitration. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20. Modifications to Terms
We may modify these Terms at any time. Material changes will be announced via email to the address on file and posted to parlay-api.com at least fifteen (15) days before taking effect for paid subscribers, or upon posting for free-tier users. Continued use after the effective date constitutes acceptance. If you object, your sole remedy is to cancel your subscription before the effective date.
21. Geographic Restrictions and User Compliance
You are solely responsible for determining whether your use of the Service complies with the laws of your jurisdiction. The legality of sports wagering varies by state, country, and tribal land. We do not represent that the Service is appropriate for use in any particular location. Users in states or countries where sports betting, betting facilitation, or odds-aggregation is restricted bear sole responsibility for compliance and shall not use Output to circumvent any such restriction.
If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local law, including data-protection regimes such as the GDPR or UK GDPR; we do not represent that the Service is configured for compliance with non-U.S. data-protection law and may decline service to users in such regions.
22. Force Majeure
Neither party shall be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, internet or backbone failures, third-party API outages, sportsbook countermeasures against aggregators, governmental action, or sanctions. Obligations to pay accrued fees survive any force majeure event.
23. Severability, Entire Agreement, and Miscellaneous
23.1 Severability
If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force.
23.2 No Waiver
Failure to enforce any provision is not a waiver of future enforcement.
23.3 Assignment
You may not assign these Terms without our prior written consent. We may assign freely, including to the successor Delaware LLC, an acquirer, or a successor in interest, without your consent.
23.4 No Agency
Nothing creates a partnership, joint venture, agency, employment, or fiduciary relationship.
23.5 Notices
Notices to us must be sent to jgalperi@ramapo.edu. Notices to you may be sent to the email on file or posted to the dashboard.
23.6 Entire Agreement
These Terms, together with any documents expressly incorporated by reference (including the Privacy Policy and Acceptable Use Policy), constitute the entire agreement between you and ParlayAPI concerning the Service, superseding all prior or contemporaneous agreements, communications, and proposals.
23.7 Headings
Section headings are for convenience only and shall not affect interpretation.
23.8 Construction
The Terms shall not be construed against the drafter.
